Metix AI Terms of Service

1. Introduction and Acceptance

1.1 Agreement

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and OpenJobs AI Inc., a Delaware corporation doing business as Metix AI ("Metix AI", "we", "us", "our"), governing your access to and use of the Metix AI platform, website (metix.ai), and related services (collectively, the "Service").

1.2 Acceptance

By creating an account, starting a free trial, subscribing to a paid plan, or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

1.3 Changes to Terms

We may update these Terms from time to time. For material changes (including changes to pricing, billing, or cancellation terms), we will provide at least 30 days' advance notice via email to the address associated with your account. Your continued use of the Service after the effective date of updated Terms constitutes acceptance. If you do not agree to the updated Terms, you may cancel your subscription before the changes take effect.


2. Service Description

2.1 Overview

Metix AI is an AI-powered recruitment automation platform that helps businesses discover, evaluate, and engage potential candidates. The Service includes:

  • AI Candidate Search: Automated discovery of potential candidates from publicly available professional data sources
  • AI Resume Screening: AI-assisted evaluation and matching of candidate qualifications
  • Automated Outreach: System-initiated contact with potential candidates on your behalf
  • Candidate Management: Tools to track, manage, and communicate with interested candidates

2.2 Service Availability

We strive to maintain continuous availability of the Service but do not guarantee uninterrupted access. Scheduled maintenance, system updates, and unforeseen technical issues may result in temporary downtime. We will make reasonable efforts to provide advance notice of scheduled maintenance.

2.3 Changes to the Service

We reserve the right to modify, update, or discontinue any features or functionality of the Service at any time, with or without notice. For changes that materially reduce the core functionality included in your current subscription plan, we will provide at least 30 days' advance notice via email. If you do not agree with a material change, you may cancel your subscription before the change takes effect. Continued use of the Service after such changes constitutes acceptance. Routine updates, bug fixes, improvements, and the addition or removal of non-core features do not require advance notice.

2.4 AI-Generated Results

The Service uses artificial intelligence and machine learning to match candidates, screen resumes, and generate outreach communications. AI-generated results are provided on an "as-is" basis. We do not guarantee the accuracy, completeness, suitability, or freedom from bias of any AI-generated candidate recommendations, assessments, or communications. AI models may reflect biases present in their training data or in publicly available professional data sources. You are solely responsible for independently verifying candidate qualifications, ensuring your hiring practices comply with all applicable anti-discrimination and equal employment opportunity laws, and making final hiring decisions.


3. Account Registration

3.1 Eligibility

The Service is available to businesses and individuals acting in a professional capacity who are at least 18 years of age. You must provide a valid work email address to register. Personal email addresses from free providers (e.g., gmail.com, outlook.com, yahoo.com) are not accepted for registration.

3.2 Account Creation

To create an account, you must provide:

  • Your full name
  • A valid work email address
  • A secure password

You may also register using Google OAuth. If you register via Google, you must still provide and verify a valid work email address that meets our requirements.

3.3 Account Security

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account
  • Promptly notifying us of any unauthorized use of your account

We are not liable for any loss or damage arising from unauthorized access to your account due to your failure to safeguard your credentials.

3.4 One Account Per Email

Each work email address may only be associated with one Metix AI account. Each Google account may only be linked to one Metix AI account.

3.5 Multi-User Access

Certain subscription plans (Professional and Scale) support multiple users within a single organizational account. The account owner ("Admin") is responsible for:

  • Granting and revoking access to authorized users within their organization
  • All activities performed by users under their organizational account
  • Ensuring all authorized users comply with these Terms

Each authorized user must have a unique login. Sharing login credentials between individuals is prohibited.


4. Free Trial

4.1 Trial Terms

We offer a 14-day free trial ("Trial") to eligible new users, subject to the following terms:

4.2 Trial Limitations

  • Trial allowances (Roles and Credits) are one-time allocations and do not reset
  • Unused Trial allowances expire at the end of the 14-day Trial period
  • Trial allowances cannot be carried forward, transferred, or exchanged for cash

4.3 Trial Expiration

When your Trial expires:

  • No automatic charges. We do not collect payment information during Trial signup, and your Trial will not automatically convert to a paid subscription.
  • Your ability to create new Roles, unlock candidates, and initiate outreach will be suspended
  • Your existing data (Roles, candidates, communications) will remain accessible in read-only mode for 90 days from the date your Trial expires
  • You may subscribe to a paid plan at any time to restore full access

4.4 Trial Abuse

We reserve the right to terminate or restrict Trial access if we reasonably determine that the Trial is being abused, including but not limited to: creating multiple accounts, using disposable or temporary email addresses, or circumventing the one-trial-per-organization limit. Determinations of Trial abuse are at our sole discretion.


5. Subscription Plans and Billing

5.1 Subscription Plans

We offer four paid subscription tiers, each available on a monthly or annual billing cycle:

Annual subscriptions provide approximately 10% savings compared to monthly billing. We reserve the right to modify pricing with at least 30 days' advance written notice. Price changes will take effect at the start of your next billing cycle.

5.2 Billing Cycle

  • Monthly subscriptions are billed on your subscription anniversary date each month (e.g., if you subscribe on January 15, you will be billed on the 15th of each subsequent month)
  • Annual subscriptions are billed once per year on your subscription anniversary date
  • For both monthly and annual subscriptions, Role quotas and Credits are issued on a monthly basis (see Sections 6 and 7)

5.3 Automatic Renewal

IMPORTANT - AUTOMATIC RENEWAL NOTICE:

Your subscription will automatically renew at the end of each billing cycle (monthly or annually, as applicable) at your then-applicable subscription rate, unless you cancel before the renewal date. If you are on a legacy or grandfathered rate, that rate may continue at renewal unless you change plans, change billing cycle, or opt into current public pricing. You authorize us to charge your payment method on file for each renewal period.

  • Monthly subscriptions renew automatically each month
  • Annual subscriptions renew automatically each year
  • Annual subscriptions: You will receive a renewal reminder email between 15 and 45 days before your annual renewal date, informing you of the upcoming charge, the renewal amount, and how to cancel
  • All subscriptions: You will receive a renewal confirmation email after each successful payment
  • You may cancel automatic renewal at any time through the Stripe Customer Portal (accessible via Settings > Billing in the Service) or by contacting support@metix.ai

5.4 Payment Processing

All payments are processed by our third-party payment processor, Stripe, Inc. ("Stripe"). By subscribing, you agree to Stripe's Terms of Service and Privacy Policy.

  • We do not store your credit card number or full payment details. All payment information is handled directly by Stripe in compliance with PCI DSS Level 1 standards.
  • You are responsible for providing accurate and current payment information.
  • All prices are in United States Dollars (USD) unless otherwise stated.
  • Taxes: All prices listed are exclusive of applicable taxes. You are responsible for any sales tax, VAT, GST, or other applicable taxes based on your jurisdiction. Where required by law, applicable taxes will be calculated and added at checkout. For EU/UK customers, VAT will be applied in accordance with applicable regulations.

5.5 Payment Failure

If a scheduled payment fails:

  1. We will notify you via email and in-app notification
  2. Stripe will automatically retry the payment up to 3 times over approximately 7 days ("Grace Period")
  3. During the Grace Period, your ability to create new Roles and unlock new candidates will be suspended, but you will retain read access to existing data and the ability to reply to candidate messages
  4. If payment is not resolved within the Grace Period, your subscription will be canceled immediately (unlike voluntary cancellation under Section 9.2, which takes effect at the end of the billing cycle). Upon cancellation due to payment failure, the data retention periods in Section 9.3 will apply

5.6 Plan Changes

Plan changes—including upgrades, downgrades, billing-cycle changes, and switches from a legacy or grandfathered rate to current public pricing—are scheduled as pending changes in the Service (via Settings > Billing) and take effect only at the end of the current billing cycle. Until then, your current plan, rate, Credits, and Role quotas continue unchanged. We do not charge prorated amounts, issue prorated refunds or credits, or adjust Credits or Role quotas mid-cycle for these changes.

Upgrades (to a higher-tier plan):

  • Take effect at the end of the current billing cycle
  • You will continue under your current plan until that cycle ends
  • Starting from the next billing cycle, you will be charged the higher tier's subscription rate; that tier's Credits and Role quotas apply from that cycle onward

Downgrades (to a lower-tier plan):

  • Take effect at the end of the current billing cycle
  • You will continue to enjoy your current plan's benefits until the end of the current billing cycle
  • No refunds or credits are issued for the remaining period
  • Starting from the next billing cycle, you will be charged the lower tier's subscription rate; that tier's Credits and Role quotas apply from that cycle onward

Switches from legacy or grandfathered rate to current public pricing (same plan tier):

  • Take effect at the end of the current billing cycle
  • Only your subscription rate changes; your plan tier, Credits, and Role quotas remain the same

Billing cycle changes (monthly to annual, or annual to monthly):

  • Monthly to annual (same tier): Takes effect at the end of the current monthly billing cycle; the ~10% annual discount applies starting with the next billing cycle
  • Annual to monthly (same tier): Takes effect at the end of the current annual billing cycle

Combined tier and cycle changes:

  • Changing tier and billing cycle together (e.g., Starter monthly to Growth yearly, or Growth monthly to Starter yearly) takes effect at the end of the current billing cycle; no mid-cycle prorated charges, refunds, or credit adjustments are issued

Plan changes are managed as pending changes in the Service via Settings > Billing. Plan switching through the Stripe Customer Portal is not supported for these changes.


6. Roles (Job Positions)

6.1 Role Quota

Each subscription plan includes a monthly allocation of new Roles you may create ("Role Quota"):

  • Role Quota resets at the beginning of each monthly billing period (for both monthly and annual subscribers)
  • Creating a new Role consumes one (1) unit from your Role Quota
  • Closing a Role does not restore quota. Once a Role is created, the quota unit is consumed regardless of whether the Role is later closed.
  • Unused Role Quota does not carry over to the next billing period

6.2 Existing Roles

  • Roles created during a previous billing period or under a previous plan remain accessible
  • Downgrading your plan does not affect previously created Roles
  • Upon subscription cancellation, all active Roles will be closed; in-progress outreach will continue to completion

7. Credits

7.1 Definition

Credits are a virtual unit of value within the Metix AI platform, used exclusively to unlock detailed information about candidates who have expressed interest in your Roles ("Interested Candidates"). One (1) Credit is consumed each time you unlock one Interested Candidate.

7.2 Credit Issuance

  • Credits are issued at the beginning of each monthly billing period, in the quantity specified by your subscription plan
  • For monthly subscribers, Credits are issued upon each successful monthly payment
  • For annual subscribers, Credits are issued upon initial subscription and then monthly on your subscription anniversary date (e.g., if you subscribe annually on January 15, Credits are issued on January 15, then February 15, March 15, etc.)
  • Upon upgrading to a higher-tier plan, the higher tier's Credits and Role quotas apply starting from the next billing cycle (see Section 5.6)

7.3 Credit Expiration

Credits expire at the end of the billing period in which they were issued:

  • For monthly subscribers: Credits expire on your next subscription anniversary date (aligned with current_period_end)
  • For annual subscribers: Credits expire on your next monthly anniversary date (not your annual renewal date)
  • Expired Credits are forfeited and cannot be recovered
  • When multiple Credit batches exist (e.g., remaining Trial Credits and new subscription Credits), Credits expiring soonest are consumed first (First Expire, First Out - "FEFO")

7.4 Credit Restrictions

  • Credits are non-refundable and cannot be exchanged for cash or monetary value
  • Credits are non-transferable and may not be sold, traded, or assigned to another user or account
  • Credits have no cash value and are not redeemable outside the Service
  • Upon requesting cancellation, you enter a "pending cancellation" state and may continue to use remaining Credits until the end of the current billing cycle. After cancellation takes effect, remaining Credits retain their original expiration date but can no longer be used (see Section 9.2). Upon downgrade, remaining Credits continue to be usable until their original expiration date. In both cases, no additional Credits are issued after the effective date of the change
  • We reserve the right to modify Credit issuance quantities with at least 30 days' advance notice; changes take effect at the start of your next billing cycle

7.5 Credit Consumption

  • Unlocking an Interested Candidate: 1 Credit
  • Once unlocked, a candidate's detailed information remains accessible to you for the duration of your active subscription and the post-cancellation data retention period (see Section 9.3), with no repeated Credit charge for the same candidate
  • Candidate data removal: If a candidate exercises their legal right to data deletion (e.g., under GDPR or CCPA), we are obligated to remove their information from the platform. In such cases, previously unlocked candidate data may become unavailable. Credits consumed to unlock such candidates are not refundable, as the Credit is consumed for the unlocking action itself, not for perpetual data access
  • The following actions are included in your subscription and do not consume Credits: automated outreach, AI resume screening, AI candidate search

8. Data and Content

8.1 Your Data

You retain ownership of all data you input into the Service (job descriptions, company information, communications with candidates). We do not claim ownership of your data.

8.2 License Grant

By using the Service, you grant us a non-exclusive, worldwide license to use, process, store, and display your data solely for the purpose of providing and improving the Service.

8.3 Candidate Data

Candidate information displayed on the Service may be sourced from publicly available professional profiles and data sources. We do not guarantee the accuracy, completeness, or currency of candidate information. You are responsible for complying with all applicable laws when using candidate information obtained through the Service, including but not limited to employment discrimination laws and data protection regulations.

8.4 Automated Outreach and Data Roles

When you use the automated outreach feature, Metix AI sends recruitment messages to candidates on your behalf. For the purposes of applicable data protection laws (including GDPR):

  • You (the employer) are the data controller - you determine the purpose and means of contacting candidates (by creating Roles and initiating outreach)
  • Metix AI is the data processor - we process candidate data and deliver outreach communications according to your instructions and our Service functionality

You are responsible for ensuring that your use of the outreach feature complies with all applicable laws, including:

  • CAN-SPAM Act (US): All outreach emails include an unsubscribe mechanism managed by Metix AI. You must ensure that the job opportunities represented in outreach are accurate and not misleading.
  • GDPR (EEA/UK): You are responsible for ensuring a valid legal basis exists for contacting candidates in the EEA/UK. The Service is designed to support outreach based on legitimate interest (connecting candidates with relevant employment opportunities); however, you as the data controller must assess whether this basis is appropriate for your specific use case. Candidates may opt out of outreach at any time.
  • CASL (Canada) and other applicable laws: You must comply with any additional consent or disclosure requirements in your jurisdiction.

8.5 Data Export

You may export your data from the Service at any time during your active subscription. After cancellation, data export remains available during the 90-day data retention period (see Section 9.3). Export formats include CSV and JSON.


9. Cancellation and Refunds

9.1 How to Cancel

You may cancel your subscription at any time through:

  • The Stripe Customer Portal (accessible via Settings > Billing > Manage Subscription)
  • Contacting support@metix.ai

9.2 Effect of Cancellation

  • Cancellation takes effect at the end of the current billing cycle. You will continue to have full access to the Service until the end of the period you have already paid for.
  • No partial refunds are provided for unused time within a billing cycle.
  • Upon the effective date of cancellation:
    • All active Roles will be closed (in-progress outreach will continue to completion)
    • No new Credits will be issued
    • Remaining Credits retain their original expiration date but cannot be used, as the ability to unlock candidates is suspended upon cancellation taking effect (see Section 5.5 for payment failure; this section for voluntary cancellation)

9.3 Data Retention After Cancellation

9.4 Reactivation

  • Within 90 days of cancellation: You may resubscribe and access your historical data
  • After 90 days: Historical data may need to be restored from cold storage (contact support for assistance)
  • Reactivation creates a new subscription; previously closed Roles are not automatically reopened

9.6 European Union Cooling-Off Period

If you are a consumer located in the European Economic Area (EEA), you may have a right to withdraw from your subscription within 14 days of purchase under the Consumer Rights Directive. However, by using the Service and consuming Credits or creating Roles during this period, you acknowledge that you have requested the Service to begin immediately and that you waive your right of withdrawal to the extent the Service has been provided. If you have not used the Service, you may request a full refund within 14 days of purchase by contacting support@metix.ai.


10. Acceptable Use Policy

10.1 Permitted Use

The Service is intended for legitimate business recruitment purposes. You agree to use the Service only for lawful purposes and in accordance with these Terms.

10.2 Prohibited Conduct

You agree not to:

  • Create multiple accounts to obtain additional free Trials
  • Use disposable, temporary, or shared email addresses to circumvent account restrictions
  • Scrape, crawl, or use automated tools to extract data from the Service (other than using our provided export functionality)
  • Resell, sublicense, or provide access to the Service to third parties
  • Use candidate information obtained through the Service for purposes unrelated to recruitment (e.g., marketing, spam)
  • Interfere with or disrupt the integrity or performance of the Service
  • Attempt to gain unauthorized access to the Service or its related systems
  • Use the Service in any manner that violates applicable laws or regulations, including anti-discrimination, data protection, and employment laws
  • Misrepresent your identity, company affiliation, or the nature of job opportunities

10.3 Enforcement

We reserve the right to suspend or terminate your account, with or without notice, for violations of this Acceptable Use Policy. No refund will be provided for accounts terminated due to policy violations.


11. Intellectual Property

11.1 Our Property

The Service, including its software, algorithms, AI models, user interface, documentation, and branding, is owned by OpenJobs AI Inc. and is protected by intellectual property laws. Nothing in these Terms transfers any ownership rights to you.

11.2 Feedback

If you provide suggestions, ideas, or feedback about the Service, you grant us a non-exclusive, perpetual, irrevocable, royalty-free license to use such feedback for any purpose without obligation to you.


12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF AI-GENERATED CANDIDATE RECOMMENDATIONS OR ASSESSMENTS
  • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
  • WARRANTIES REGARDING THE ACCURACY OF CANDIDATE INFORMATION SOURCED FROM THIRD-PARTY DATA

13. Limitation of Liability

13.1 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

13.2 Exclusion of Damages

IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • LOSS OF PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES
  • LOSS OF DATA
  • COST OF SUBSTITUTE SERVICES
  • DAMAGES ARISING FROM HIRING DECISIONS MADE BASED ON INFORMATION PROVIDED THROUGH THE SERVICE

13.3 Exceptions

Nothing in this section excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, gross negligence, or willful misconduct.


14. Indemnification

You agree to indemnify, defend, and hold harmless OpenJobs AI Inc., its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Your hiring decisions or employment practices
  • Any dispute between you and a candidate

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

15.2 Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall take place in Wilmington, Delaware. The arbitrator's decision shall be final and binding.

15.3 Class Action Waiver

YOU AND METIX AI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

15.4 Exceptions

Notwithstanding the above, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

15.5 European Consumer Exception

If you are a consumer located in the European Economic Area, United Kingdom, or Switzerland, Sections 15.2 (Arbitration) and 15.3 (Class Action Waiver) shall not apply to the extent they are prohibited by mandatory consumer protection laws in your jurisdiction. In such cases, disputes shall be resolved in the courts of your country of residence, and the mandatory consumer protection laws of your country of residence shall apply in addition to Delaware law.


16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Metix AI regarding the Service and supersede all prior agreements and understandings.

16.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

16.4 Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.

16.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, acts of government, internet or telecommunications failures, or third-party service provider outages.
